Transparency, security, and your rights — documented in full. These policies govern your use of the NTGConnect platform and our obligations to you.

Terms of Service

Effective 1 January 2025 · Version 1.0

1. Acceptance of Terms

By accessing or using NTGConnect ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms, you may not access or use the Platform. These Terms apply to all users — individuals, team members, and administrators — accessing the Platform through any client (web, desktop, or mobile).

2. Description of Service

NTGConnect is an enterprise collaboration platform providing real-time messaging, structured channel communication, video and audio meetings, file storage and sharing, task management, and administration tools. The Platform is operated by NTG Clarity Networks Inc. and its subsidiaries.

3. Account Registration & Security

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at ntgconnect@ntgclarity.com if you suspect any unauthorised access. Accounts provisioned through LDAP/Active Directory are governed by your organisation's identity policies as configured by your administrator.

4. Acceptable Use

You agree not to use the Platform to: (a) transmit unlawful, harmful, defamatory, or fraudulent content; (b) harass, threaten, or intimidate other users; (c) distribute malware, phishing links, or other malicious code; (d) attempt to gain unauthorised access to systems or data; (e) reverse-engineer, decompile, or extract source code from Platform clients; (f) use the Platform to build a competing service; or (g) violate any applicable local, national, or international law or regulation.

5. Content Ownership

You retain ownership of content you upload, post, or transmit through the Platform. By submitting content, you grant NTG Clarity a limited, non-exclusive, worldwide licence to store, process, and transmit that content solely for the purpose of providing the Platform services. We do not sell your content or use it for advertising. You are solely responsible for the content you share.

6. Subscription & Billing

Access to paid features requires an active subscription. Subscription fees are billed in advance on monthly or yearly cycles as selected at sign-up. All fees are non-refundable except as required by applicable law. Prices are subject to change with 30 days written notice. Free-tier accounts may have feature restrictions as described in the published plan matrix.

7. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated with reasonable advance notice. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, natural disasters, or third-party infrastructure failures.

8. Termination

We may suspend or terminate your account for breach of these Terms, non-payment of fees, or at our discretion with notice. Upon termination, your right to use the Platform ceases immediately. Data export options are available for a period of 30 days following account termination, after which data may be deleted in accordance with our data retention policy.

9. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, NTG Clarity disclaims all warranties including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to its conflict-of-law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

Privacy Policy

1. Who We Are

NTGConnect is operated by NTG Clarity Networks Inc., headquartered at 2820 Fourteenth Avenue, Suite 202, Markham, Ontario L3R 0S9, Canada. We act as the data controller for information collected directly from you through the Platform and the public website.

2. Information We Collect

We collect: (a) Account information — username, email address, display name, profile photo, and role; (b) Usage data — messages sent, files uploaded, meetings attended; (c) Device and network information — IP address, browser type, operating system; (d) Payment information — processed through our payment providers; we never store full card numbers or CVV codes; (e) Metadata — timestamps, read receipts, and message delivery status.

3. How We Use Your Information

We use your information to: provide and improve the Platform; authenticate your identity; send transactional emails; support your technical enquiries; comply with legal obligations; detect and prevent fraud and abuse; generate aggregated, anonymised analytics. We do not sell personal data to third parties or use it for advertising.

4. Legal Basis for Processing (GDPR)

For users in the European Economic Area and UK, we process personal data under the following legal bases: (a) Contract — processing necessary to fulfil the subscription agreement; (b) Legitimate interests — security monitoring and fraud prevention; (c) Legal obligation — compliance with applicable regulations; (d) Consent — where explicitly given.

5. Data Sharing

We share data only with: (a) Your organisation's administrators; (b) Infrastructure providers acting as data processors under binding agreements; (c) Payment processors under PCI-DSS compliance; (d) Law enforcement when required by valid legal process.

6. International Data Transfers

Data may be processed in Canada, Egypt, Saudi Arabia, or other countries where NTG Clarity operates infrastructure. All cross-border transfers are protected by appropriate safeguards including standard contractual clauses where required.

7. Data Retention

We retain personal data for as long as your account is active. Upon account termination, account data is retained for 30 days for recovery purposes, then deleted. Audit logs are retained for 12 months.

8. Your Rights

Depending on your jurisdiction, you may have the right to: access, correct, or delete personal data; restrict or object to certain processing; receive your data in a portable format. To exercise these rights, contact us at ntgconnect@ntgclarity.com.

9. Cookies & Tracking

The Platform uses session cookies for authentication. The public website uses minimal analytics cookies. We do not use cross-site tracking or behavioural advertising cookies.

Cookie Policy

What Are Cookies

Cookies are small text files stored on your device by a website or application. They allow the site to remember your preferences and session state across page loads.

Essential Cookies

We use session cookies that are strictly necessary for the Platform to function. These cookies store authentication tokens and session identifiers that keep you logged in. Without these cookies, the Platform cannot operate. These cookies are not used for analytics or advertising.

Performance & Analytics

The public website may use anonymised analytics cookies to understand how visitors interact with content (pages visited, time on page, referral source). This data is aggregated and cannot identify individual users. No personal information is shared with third-party advertising platforms.

Third-Party Cookies

CAPTCHA verification services (if enabled by your administrator) may set their own cookies as part of bot-detection functionality. These are subject to the respective service provider's privacy policy.

Managing Cookies

You can manage or delete cookies through your browser settings. Disabling session cookies will prevent you from logging in to the Platform. Most modern browsers allow you to block third-party cookies while keeping first-party session cookies active.

Cookie Duration

Session cookies expire when you close your browser or after the configured session timeout period (typically 24 hours of inactivity). Persistent preference cookies last up to 12 months.

Acceptable Use Policy

Overview

This Acceptable Use Policy ("AUP") defines the standards of behaviour expected from all users of the NTGConnect platform. Violations may result in content removal, account suspension, or permanent termination without notice.

Prohibited Content

Users must not transmit, store, or share: illegal content in any jurisdiction; child sexual abuse material (CSAM) — this is an absolute prohibition; content that incites violence, hatred, or discrimination; defamatory or fraudulent material; copyrighted material without authorisation.

Prohibited Conduct

Users must not: impersonate other users or NTG Clarity staff; scrape, harvest, or systematically extract platform data; use automated scripts or bots without written authorisation; conduct denial-of-service attacks; attempt to intercept or monitor other users' communications.

Security Responsibilities

Users are responsible for: keeping credentials secure; reporting suspected security incidents immediately to ntgconnect@ntgclarity.com; ensuring devices have reasonable security measures; following their organisation's IT security policies.

Enforcement

NTG Clarity reserves the right to investigate any reported violation and take appropriate action including content removal, account suspension, or referral to law enforcement. We cooperate fully with legal investigations.

Security & Compliance

Infrastructure Security

NTGConnect is hosted on enterprise-grade cloud infrastructure with physical security controls, redundant power, and network segmentation. All data is encrypted at rest using AES-256 and in transit using TLS 1.2 or higher. Database backups are encrypted and stored in geographically separate locations.

Application Security

The Platform undergoes regular security testing including static code analysis, dependency vulnerability scanning, and penetration testing. Security patches are deployed promptly following responsible disclosure of vulnerabilities.

Access Control

Role-based access control (RBAC) limits data access to the minimum required for each user's function. All administrative actions are logged in an immutable audit trail. Multi-factor authentication can be enforced at the organisation level.

Payment Security (PCI-DSS)

Card payment processing is handled through PCI-DSS Level 1 certified payment processors. NTGConnect does not store full card numbers, CVV codes, or magnetic stripe data. Only masked card metadata is stored in accordance with PCI-DSS tokenisation standards.

Data Residency

Enterprise customers can request data residency configuration to ensure primary data storage remains within a specific geographic region. Contact ntgconnect@ntgclarity.com for data residency options.

Business Continuity

NTGConnect maintains business continuity plans with defined Recovery Point Objectives (RPO) and Recovery Time Objectives (RTO). The Platform is designed for multi-region failover to minimise impact from regional infrastructure events.

Vulnerability Disclosure

We operate a responsible disclosure programme. Report security vulnerabilities to ntgconnect@ntgclarity.com with the subject line "Security Disclosure". We acknowledge reports within 48 hours.

GDPR & Data Protection

Our Commitment

NTG Clarity is committed to full compliance with the EU General Data Protection Regulation (GDPR) and the UK GDPR. We have appointed processes to ensure data protection principles are embedded in the design of our systems and operations.

Data Controller vs. Data Processor

NTG Clarity acts as Data Controller for personal data collected directly (account registration, billing). For data processed within the Platform by your organisation (messages, files, user-generated content), NTG Clarity acts as a Data Processor on behalf of your organisation (the Data Controller). A Data Processing Agreement (DPA) is available upon request for enterprise customers.

Data Subject Rights

Under GDPR, EU/UK users have the right to: access, rectify, and erase personal data; restrict or object to processing; data portability; lodge a complaint with a supervisory authority. Submit requests to ntgconnect@ntgclarity.com — we respond within 30 days as required by GDPR Article 12.

Data Processing Agreement

Enterprise customers requiring a Data Processing Agreement (DPA) for compliance purposes may request one by contacting ntgconnect@ntgclarity.com. The DPA specifies the nature of processing, types of personal data, duration, and technical/organisational security measures in accordance with GDPR Article 28.

Sub-processors

We use sub-processors for specific technical functions including cloud hosting, email delivery, and payment processing. All sub-processors are bound by GDPR-compliant data processing agreements. A current list of sub-processors is available upon request.

Breach Notification

In the event of a personal data breach that risks the rights and freedoms of individuals, we will notify the relevant supervisory authority within 72 hours as required by GDPR Article 33, and affected individuals where required by Article 34.
